Provide Timely Feedback: Respond to our requests for feedback, information, and approvals in a timely manner.

Provide Necessary Access: Grant us access to relevant accounts and platforms required to perform our Services, such as website backends, analytics accounts, and social media profiles.

4. Fees and Payment
A. Payment Terms: Payment for Services will be outlined in the SOW. This may include project-based fees, monthly retainers, or other arrangements. Invoices are due upon receipt unless otherwise specified.
B. Late Payments: Payments not received by the due date may be subject to a late fee of 1.5% per month or the maximum rate permitted by law. We reserve the right to pause or suspend Services for accounts that are past due.
5. Intellectual Property
A. Client-Owned Materials: You retain all intellectual property rights to the content, logos, and materials you provide to us.
B. Deliverables: Upon full payment, you will own the final, delivered work product (e.g., website code, final ad copy, reports).
C. Our Proprietary Tools: We retain ownership of all our proprietary tools, software, processes, and pre-existing materials used in the delivery of our Services.
6. Confidentiality
Both parties agree to keep all confidential information private. This includes business strategies, client lists, financial data, and any non-public information shared during our engagement. This obligation extends beyond the termination of our agreement.
7. Limitation of Liability
To the fullest extent permitted by law, True Ad Solutions shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising from your use of our Services. Our total liability for any claim arising out of our Services will not exceed the total amount you have paid to us in the preceding six (6) months.
8. Term and Termination
A. Term: The term of our engagement will be specified in the SOW. Monthly retainer services typically require a 30-day written notice for termination by either party.
B. Termination for Cause: Either party may terminate the agreement immediately if the other party is in material breach of these Terms and fails to remedy the breach within a reasonable time.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the state or jurisdiction in which True Ad Solutions is based, without regard to its conflict of law provisions.
10. Changes to These Terms
